Enterprise Holdings Corporate Counsel - Business Technologies and Network Integration in St. Louis, Missouri

Overview

Enterprise Holdings’ Corporate Legal Group has an exciting opportunity for the position of Corporate Counsel – Business Technologies and Network Integration , reporting to the Vice President and Associate General Counsel, Sales and Marketing. The Corporate Counsel will provide legal advice and counsel to various corporate constituencies in designated functional areas and operating units with a focus on technology matters and support of Enterprise’s expanding and proprietary Entegral® network integration business unit. This position will consult on companywide technology initiatives and will primarily be responsible for ensuring the competent and timely provision of legal services to the Entegral® business unit across a broad range of activity, including commercial and technology transactions, general corporate, intellectual property, data privacy and security, and preventative law initiatives. Among other things, the selected individual will be responsible for drafting, reviewing and negotiating a broad range of technology contracts, terms and licenses. This position will require demonstrated experience in commercial transactions involving cloud computer services, data licensing and software licensing (e.g., SaaS agreements).

We deliver our legal services through highly matrixed, cross-departmental functional teams focused on particular specialties. The successful candidate will have the opportunity to collaborate with business stakeholders and colleagues in the Legal Group, in their areas of expertise, in Europe, the United Kingdom and the US, working on projects globally as part of these cross-departmental functional teams. The selected individual must be collaborative, creative, efficient, personable and results-oriented – with outstanding oral and written communication abilities and the ability to work seamlessly in a fast-paced, team environment.

This position is located at our Corporate Headquarters in Clayton, MO.

Responsibilities

  • Partner with internal stakeholders, including the Entegral® leadership team, on various strategic initiatives as well as continual process improvements and guidelines

  • Assume lead role in structuring, drafting, reviewing, and negotiating business-critical contracts for Entegral® and other business units and ensuring they properly protect the company’s interests and objectives

  • Clearly communicate or present (in writing or verbally) and advise decision makers on the risks and benefits of negotiating options and contractual provisions

  • Work with Entegral leadership team to develop and maintain templates agreements, user terms and other solutions that advance Entegral’s strategic direction

  • Identify, manage and assist in the resolution of legal issuespertaining to various corporate, technology, transactional, regulatory, and intellectual property matters in a manner consistent with the company’s business philosophy and strategy, and in compliance with legal and regulatory requirements

  • Provide timely and accurate interpretations of the various laws and regulations affecting the company’s businesses to senior management and operating personnel; keep them apprised of the types of action that require legal consideration and provide internal guidance regarding potential legal risk

  • Manage and assist clients with resolving all legal issues pertaining to various corporate, transactional, and regulatory matters in a manner consistent with Enterprise Holdings’ business philosophy and strategy, and in compliance with legal and regulatory requirements

  • Prepare best practices and present training to various personnel throughout the organization

  • Partner with assigned functional areas and operating units to help drive the Company’s business model and execute its strategies

  • Provide ongoing strategic planning, guidance and consultation regarding potential and actual disputes

Qualifications

Minimum:

  • Juris doctorate from an accredited law school

  • Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future

  • Five (5) or more years of relevant experience in a business law firm or in a corporate law department with a proven record of professional excellence and achievement

  • Significant legal experience drafting, editing and reviewing agreements involving cloud computer services, data use and licensing and software licensing (e.g., SaaS agreements)

  • Legal experience in intellectual property, data privacy and/or data security a plus

  • Experience with an early stage technology company a plus

  • Ability to independently research and analyze issues

  • Admission to at least one state Bar in the United States is required, with the ability to qualify with the Missouri state bar

  • Intermediate level of proficiency with Microsoft Office Products (i.e. Excel, Word, PowerPoint, and Outlook)
